TERMS & AGREEMENTYES. I agree to all terms. All buyers for Refinery services must establish a "new account" with Benkotec Refinery herein referred as (BR). This new account becomes approved so that the new account apply to all BR locations worldwide. Exporter must submit all documents required in our procedure below. Seller must also complete the "open a New account"application and agreement to all terms and agreement on this page. All export fees including taxes will be the responsibility of the Exporter. One application there is a "checkbox" stating that you the EXPORTER acknowledge and further agree to process this terms and agreement as a Joint Venture for the purpose of delivery to the end buyer BR as contracted on our website, BR.The EXPORTER acknowledges that herein BR is a reseller and has contracted the end buyer or refinery for the delivery of the herein commodity. Please email Export/Mining licenses- Discount is determined by kilogram quantity. Identification- We like to know our customer (KYC) prior to the appointment. Passport is required for international EXPORTER. Proof of Product (POP)- Send picture(s) or video with date. Preliminary Assay Report - Assay report should be within 60 days. Or email a Video with the " magnet test"with date if you have gold bars. No assay needed for scrap jewelry. All EXPORTER Payment for the COMMODITY shall be made based Ghana Bullion Market Association pricing set twice daily.For international Gold, the price FLAT RATED NEGOTIATED BY EXPORTER NEW YORK REPRESENTATIVE. BR can refine and or assay precious metal up to one hundred fifty per day depending on how many other orders are before your refinery. All payments or by SWIFT wire transfer via Verified Ghana & Corresponding Bank to Bank account of EXPORTER within twenty-four (24) hours to forty-eight (48) hours after release of the final assay report by the BR’s refinery in Weija City only. Cash is offered on small scrap metal payout under $1000.00. Note: Ghana. Customs and Boarder Protections suggests the following for faster clearance into the Ghana: Include all information required on your customs invoices. Prepare your invoices carefully. Type them clearly. Allow sufficient space between lines. Keep the data within each column. Make sure that your invoices contain the information that would be shown on a well-prepared packing list.Mark and number each package so it can be identified with the corresponding marks and numbers appearing on your invoice. Show a detailed description on your invoice of each item of merchandise contained in each individual package. Mark your goods legibly and conspicuously with the country of origin unless they are specifically exempted from country-of-origin marking requirements, and with such other marking as is required by the marking laws of the Ghana. All export and shipping charges & taxes for delivery to Ghana will be paid by the EXPORTER.EXPORTER agrees to indemnify and hold harmless BR from all claims, losses, expenses, fees including attorney fees, costs, and judgments that may be asserted against RGDC that result from the acts or omissions of EXPORTER, EXPORTER's employees, if any, and Seller's agents. BR agrees to indemnify and hold harmless EXPORTER from all claims, losses, expenses, fees including attorney fees, costs, and judgments that may be asserted against Seller 1that result from the acts or omissions of BR, BR's employees, if any, and BR's agents. For and in consideration of the payment to EXPORTER payment , the recipient and sufficiency of which is hereby acknowledged, do hereby release and forever discharge BR, their agents, employees, successors and assigns, and their respective heirs, personal representatives, affiliates, successors and assigns, and any and all persons, firms or corporations liable or who might be claimed to be liable, whether or not herein named, none of whom admit any liability to the undersigned, but all expressly denying liability, from any and all claims, demands, damages, actions, causes of action or suits of any kind or nature whatsoever, which I now have or may hereafter have, arising out of or in any way relating to any and all injuries and damages of any and every kind, to both person and property, and also any and all injuries and damages that may develop in the future, as a result of or in any way relating to the purchase of goods and/or services; and/or for the performance of a contractual obligation.All payments are based USD. It is understood and agreed that this payment is made and received in full and complete settlement and satisfaction the causes of action, claims and demands mentioned herein; that this Release contains the entire agreement between the parties; and that the terms of this agreement are contractual and not merely a recital. This Release may not be altered, amended or modified, except by a written document signed by both parties. Furthermore, this Release shall be binding upon the undersigned, and his/her respective heirs, executors, administrators, personal representatives, successors and assigns. This Release shall be subject to and governed by the laws of the International Chambers of Commerce and/or the state of Ghana.The EXPORTER & BR agree to respect each other's proprietary interests and not to reveal details and/or information to parties and/or individuals other than those who are the officers involved in handling this transaction. Except without the written consent of the other party, no communication is to be made by one party to other party's bank, its handling officer(s) BR was able to obtain material information or coordinates of the EXPORTER’s associates and /or partners, the BR is prohibited to use and utilize the information or coordinates for purposes of contacting directly or indirectly the EXPORTER’s proprietary sources and /or partners for the purpose of continuing the failed transaction or similar arrangements involving the same commodity or dealings. In the event of such a breach, the RGDC shall be liable for the profits the EXPORTER would have earned under this transaction including BR's attorneys’ fees. Such prohibition will be in force and effect for a period of three (3) years from the date of execution hereof.EXPORTER shall not circumvent, obviate or discredit that relationship with the herein buyer to any entity or to the end buyer, and the Seller and Buyer further commit to protect each others’ interests as applicable under this agreement. Any breach of this clause will constitute a breach of this agreement and the herein Buyer is entitled two times ( 2x) his actual profits under this agreement in the event of a breach of this clause. In any action or proceedings to enforce the arbitral award of the arbitration has failed, the Laws of Ghana, Gh shall apply and venue of action shall be Ghana or as chosen by the aggrieved party. The aggrieved party may elect to by-pass the arbitration proceedings and proceed to file charges for breach of contract and for claims in a court of law. Export taxes, freight and fees will be the responsibility of the international Seller. BR agree to payment of 10% LBMA after raw gold has been smelted to .999 bullion for international precious metal Seller's who have approved "Open Account" through BR should all export documents accompany the precious metal for purchase. All accounts open without documents, BR will provide their own export documents and pay Ghana including federal taxes on the EXPORTER behalf. EXPORTER without paperwork will receive discounts between 15% to 30% of LBMA after raw gold has been smelted to .999 bullion.

EDT documents shall be subject to European Community Directive No. 95/46/EEC, as applicable. Either Party may request hard copy of any document that has been previously transmitted by electronic means provided however, that any such request shall in no manner delay the parties from performing their respective obligations and duties under EDT instruments.

BR ACCEPTANCE OF AGREEMENT
You Accept BR Signature and execution of this Sales Purchase Agreement under full penalty of perjury. BR will accept that the signed copies and messages by electronic email shall have the full force and effect of the original. BR have read and approved all terms of this Sales Purchase Agreement. Benkotec Refinery Agree to the EDT (Electronic document transmissions) and the your signature shall be deemed valid and enforceable in respect of any provisions of this Contract.
